Shuk Terms of Use

1. Introduction and Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Shuk, Inc. and its subsidiaries and affiliates (collectively, "Shuk," "we," "our," or "us") governing your access to and use of the Shuk website, mobile application, and all related services, features, content, and products (collectively, the "Services").

By accessing or using our Services, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We may update these Terms at any time. If we make material changes, we will notify you through our Services or by other means, such as email. Your continued use of our Services after such notice constitutes your acceptance of the revised Terms.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use the Services, you must:

  • Be at least 18 years of age

  • Have the legal capacity to enter into binding contracts

  • Not be prohibited from using the Services under applicable law

  • Complete the registration process and accept these Terms

2.2 Account Creation and Security

When creating an account, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Keep your password confidential and secure

  • Be responsible for all activity that occurs under your account

  • Notify us immediately of any unauthorized access to your account or other security breaches

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Shuk will not be liable for any loss or damage arising from your failure to protect your account information.

2.3 Account Types

Our Services may offer different account types for landlords and tenants, each with specific features and functionality. By creating a specific type of account, you confirm that you meet all eligibility requirements for that account type.

3. Use of Services

3.1 License to Use

Subject to these Terms, Shuk grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use, or, if explicitly permitted, for your business purposes related to property rental and management.

3.2 User Conduct and Restrictions

When using our Services, you agree not to:

  • Violate any applicable law, regulation, or third-party rights

  • Use the Services for any illegal, harmful, or fraudulent purpose

  • Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity

  • Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services

  • Use any robot, spider, scraper, or other automated means to access the Services for any purpose

  • Interfere with or disrupt the operation of the Services or servers or networks connected to the Services

  • Bypass or circumvent measures employed to prevent or limit access to any part of the Services

  • Collect or harvest any information about other users without their consent

  • Upload, transmit, or distribute any viruses, worms, or other malicious code

  • Use the Services to send unsolicited communications, promotions, or advertisements

  • Misrepresent the source, identity, or content of information transmitted via the Services

  • Remove any copyright, trademark, or other proprietary rights notices from the Services

  • Frame or mirror any part of the Services without our prior written authorization

  • Use the Services to build a competitive product or service

  • Use the Services in a manner that exceeds reasonable use limitations or creates an unreasonable burden on our systems

3.3 Listing and Property Content

If you are a landlord or property manager using our Services, you agree that:

  • You have the legal right to list and rent the properties you post

  • All property information and descriptions are accurate, complete, and up-to-date

  • You will comply with all applicable fair housing laws and regulations

  • You will not discriminate against any prospective tenants

  • You will honor any commitments made through our Services regarding property viewings, applications, or leases

  • You will maintain and update the status of your listings to reflect current availability

  • You will respond to inquiries and applications in a timely manner

  • You will comply with all applicable landlord-tenant laws

3.4 Payments and Financial Terms

3.4.1 Subscription Fees

Landlords and property managers may be required to pay subscription fees to access certain features of the Services. All subscription fees are:

  • Non-refundable except as required by law or expressly stated in these Terms

  • Subject to change with notice prior to the billing period in which the change takes effect

  • Automatically renewed unless you cancel before the renewal date

  • Billed according to the plan you select

3.4.2 Payment Processing

For payments processed through our Services, including rent payments:

  • We use third-party payment processors to facilitate transactions

  • You agree to comply with the terms and conditions of these payment processors

  • You authorize us to share necessary information with payment processors

  • You are responsible for providing accurate payment information

3.4.3 Rent Collection

When using our rent collection features:

  • Landlords are responsible for setting accurate rent amounts and due dates

  • Tenants are responsible for ensuring sufficient funds are available for payment

  • Shuk is not responsible for insufficient funds, payment failures, or banking delays

  • Transaction timing is subject to financial institution processing schedules

3.4.4 Taxes

You are solely responsible for determining and paying all applicable taxes associated with your use of the Services. Shuk is not responsible for calculating, collecting, reporting, or remitting any taxes arising from any transaction, except where legally required.

4. Content and Intellectual Property

4.1 Ownership of Services

The Services, including all content, features, and functionality, are owned by Shuk and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited license to use the Services as set forth in these Terms.

4.2 User Content

4.2.1 Content You Provide

"User Content" means any content you submit, post, or display on or through the Services, including property listings, reviews, comments, messages, photos, videos, and other materials.

By submitting User Content, you grant Shuk a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and Shuk's business, including for promoting and redistributing part or all of the Services.

You represent and warrant that:

  • You own or have the necessary rights to your User Content

  • Your User Content does not infringe or violate the rights of any third party

  • Your User Content complies with these Terms and all applicable laws

4.2.2 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice. We may also terminate accounts of users who repeatedly post objectionable content.

4.3 Feedback

If you provide us with suggestions, feedback, or ideas about the Services ("Feedback"), you grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use the Feedback for any purpose without compensation or obligation to you.

4.4 Copyright Infringement - DMCA Policy

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent

  • Identification of the copyrighted work claimed to have been infringed

  • Identification of the material that is claimed to be infringing

  • Contact information for the complaining party

  • A statement that the complaining party has a good faith belief that use of the material is not authorized

  • A statement that the information provided is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner

5. Disclaimers and Limitations

5.1 Service Availability and Accuracy

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Shuk does not guarantee that:

  • The Services will always be available, uninterrupted, timely, secure, or error-free

  • Results obtained from using the Services will be accurate or reliable

  • Errors or defects will be corrected

  • The Services or servers are free of viruses or other harmful components

While we strive to provide accurate information, we do not verify the accuracy of property listings, tenant applications, or other user-provided content. You are responsible for verifying all information before relying on it.

5.2 Third-Party Services and Links

The Services may contain links to third-party websites or services that are not owned or controlled by Shuk. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Shuk shall not be responsible or liable for any damage or loss caused by your use of any such website or service.

5.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHUK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES

  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES

  • ANY CONTENT OBTAINED FROM THE SERVICES

  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

  • PROPERTY DAMAGE OF ANY NATURE WHATSOEVER

  • ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SHUK HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT WILL SHUK'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SHUK IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

5.4 Indemnification

You agree to defend, indemnify, and hold harmless Shuk, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms

  • Your User Content

  • Your use of the Services

  • Your violation of any rights of another person or entity

  • Your violation of any applicable laws, rules, or regulations

6. Dispute Resolution

6.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

6.2 Mandatory Arbitration

Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be determined by binding arbitration. The arbitration shall be administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Minneapolis, Minnesota, unless you and Shuk agree otherwise. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

6.3 Class Action Waiver

YOU AND SHUK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

6.4 Small Claims Court Option

Notwithstanding the foregoing, either you or Shuk may bring an individual action in small claims court, provided the claim qualifies for jurisdiction in that court.

6.5 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

7. Termination

7.1 Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7.3 Data Retention and Deletion

Following termination or deactivation of your account, Shuk may retain your information for a commercially reasonable time for backup, archival, legal, or regulatory purposes. Certain information may be retained indefinitely as required for legitimate business purposes or as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. Please refer to our Privacy Policy for more information on data retention.

8. Property Management and Rental Transactions

8.1 Rental Applications

When using our rental application features:

  • Tenants must provide accurate and truthful information

  • Landlords must use screening criteria that comply with fair housing laws

  • Shuk provides the technology to facilitate applications but is not responsible for tenant screening decisions

  • Landlords are responsible for complying with all tenant screening regulations

8.2 Rental Agreements and Leases

Our Services may provide functionality for creating and executing rental agreements and leases. With respect to these features:

  • Landlords are responsible for ensuring their leases comply with all applicable laws

  • We do not provide legal advice or customized legal documents

  • Electronic signatures submitted through our Services have the same legal effect as manual signatures where permitted by law

  • Parties should retain copies of all executed documents

8.3 Rent Collection and Payments

Our rent collection and payment features are subject to the following:

  • All parties must maintain accurate and up-to-date payment information

  • Payments are subject to processing times of financial institutions

  • Landlords must promptly report failed or missed payments

  • Tenants are responsible for ensuring sufficient funds are available

  • Shuk is not responsible for payment disputes between landlords and tenants

8.4 Maintenance Requests

When using our maintenance request features:

  • Tenants should provide clear and accurate descriptions of maintenance issues

  • Landlords are responsible for responding to maintenance requests in accordance with applicable laws

  • Shuk facilitates communication but is not responsible for the completion or quality of maintenance work

  • Landlords are responsible for selecting and overseeing service providers

9. Fair Housing and Non-Discrimination

All users of our Services must comply with applicable fair housing laws and regulations, which prohibit discrimination based on race, color, religion, national origin, sex, disability, familial status, and other protected classes as defined by federal, state, and local laws.

Landlords agree not to use discriminatory criteria when listing properties, screening applicants, or selecting tenants. Any discriminatory content may be removed, and accounts may be terminated for violations of fair housing laws.

10. Privacy and Data Security

10.1 Privacy Policy

Your use of the Services is also governed by our Privacy Policy, incorporated herein by reference, which can be found at [Privacy Policy URL]. By using the Services, you consent to the collection, use, and sharing of your information as detailed in our Privacy Policy.

10.2 Data Security

While we implement security measures to protect your information, no data transmission over the Internet or storage system can be guaranteed to be 100% secure. You are responsible for maintaining the security of your account credentials and for any activities that occur under your account.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or additional terms and conditions published by Shuk, constitute the entire agreement between you and Shuk concerning the Services.

11.2 Waiver and Severability

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Shuk's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

11.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Shuk's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Shuk may assign or transfer these Terms, at its sole discretion, without restriction.

11.4 Force Majeure

Shuk shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, internet or telecommunications failures, or other similar events.

11.5 Headings

The section titles in these Terms are for convenience only and have no legal or contractual effect.
